As an associate in the Business Department, Susan focuses her practice on private equity, securities and regulatory compliance, tax planning and consulting and business transactions. Susan also represents the firm’s clients in a variety of general corporate matters, including commercial contract negotiation, corporate governance, and entity formation.
As a member of the Capital Markets Practice, Susan has experience in raising capital for early and growth-sage companies through private placement offerings and in assisting capital providers with fund formation and investments in portfolio companies. She has experience in preparing, structuring and negotiating private placement memorandums, subscription agreements, operating agreements, management agreements, securities purchase agreements and related documents. Susan has also assisted such clients with federal and state securities law compliance.
As a member of the Business Transactions Practice, Susan has experience in planning, structuring, negotiating and conducting due diligence for various types of acquisitions, dispositions and investments for middle market companies.
As a member of the Tax Practice, Susan has broad-based experience in federal, state and local taxation involving corporations, nonprofits, partnerships, individuals, and real estate investment trusts. Susan has experience in tax compliance, tax controversy and domestic tax planning.
