Associate – Executive Compensation

McDonald Hopkins LLC is seeking a talented attorney with 3+ years of relevant experience to join our dynamic Executive Compensation & Governance Practice Group. This is an exceptional opportunity to work from any of our offices in Chicago, Cleveland, Detroit, or West Palm Beach.

We’re looking for a candidate with strong academic credentials, excellent written and verbal communication skills, and a genuine enthusiasm for sophisticated executive compensation and governance work. The ideal attorney thrives in an entrepreneurial, collaborative environment, enjoys tackling complex issues, and is motivated to grow their practice alongside a highly respected team.

The ideal candidate will have experience and interest in a broad range of executive compensation and governance matters, or strong mergers and acquisitions experience with an interest in executive compensation. Preferred skills include:

  • Strong presentation skills, including the ability to confidently communicate with senior executives and board members
  • Designing and drafting short- and long-term incentive plans, including profits interest programs, stock option plans, restricted stock and unit plans, and phantom equity programs
  • Drafting executive employment, severance, and change-in-control agreements
  • Advising companies, compensation committees, and boards on SEC disclosures related to executive compensation and governance
  • Handling executive compensation issues in corporate transactions, including mergers, acquisitions, capital raises, public offerings, and joint ventures
  • Collaborating effectively across disciplines, partnering with colleagues in labor and employment, corporate, tax, litigation, and employee benefits to provide integrated client service

Compensation Range

$160,000 - $220,000 - the compensation for this position is determined by many factors, including but not limited to experience, training, and location.
