Corporate Paralegal (Chicago)

McDonald Hopkins LLC is seeking a full-time Corporate Paralegal to join our Chicago office.

Responsibilities:

  • Good standing certificates
  • Prepare UCC lien searches and summarize results
  • Prepare and draft UCC-1 and UCC-3 filings
  • Complete and file SS-4s and obtain EINs
  • Prepare resolutions/secretary’s certificates, documents for closings, narratives of stock ownership history, and file amendment certificates for corporation or limited liability companies
  • Draft shareholder and board consents in lieu of meetings, meeting minutes, resolutions and documents
  • Proofread corporate documents and contracts, maintain tickler systems for filing and other due dates
  • Cancel and prepare unit certificates, stock certificates, and stock ledgers
  • Prepare and maintain corporate minute books
  • Familiar with Illinois corporate laws and procedures
  • Coordinate filings with corporate service providers and Secretary of State offices  
  • Prepare initial drafts of organizational documents, operating agreements, and shareholder agreements
  • Assist with entity formation, mergers, dissolutions, foreign qualifications, and related state filings
  • Assisting with closings of venture capital financings, acquisitions and mergers, and other transactions, including preparation of closing sets, Blue Sky filings and SEC filings

Ideal candidate will have:

  • Bachelor's Degree, Paralegal Certificate or equivalent experience
  • 3-5 years corporate/transactional paralegal experience
  • Proficient in use of MS Office Suite, Excel spreadsheets, document management systems, and DocuSign
  • Experienced working with documents in data rooms
  • Excellent verbal and communication skills; proofreading skills, organizational skills and attention to detail
  • Ability to multi-task and work independently
