Overview

Lisa S. Lauer is a Member in the Business Department at McDonald Hopkins and a key part of the firm’s Executive Compensation Practice Group. Lisa has extensive experience advising public and private companies on complex transactions, including mergers, acquisitions, joint ventures, and entity financings.

Her practice includes more than a decade of broad-based legal experience, both in private practice and in-house, where she led strategic domestic and international transactions and advised executive leadership on a wide range of corporate, regulatory, and compliance matters. Her experience also includes drafting and negotiating commercial agreements, managing corporate governance for large entity structures, and supporting spin-offs and other high-level corporate initiatives.

Lisa received a Juris Doctor from the University of Michigan and a B.S. from Wayne State University.

  • Represented producer of metal powder products in sale to private equity buyer in a transaction valued at approximately $400 million.

  • Represented private-equity-backed purchaser of national behavioral health facility, in transaction valued at over $400 million, in Bankruptcy Code Section 363 Sale.
  • Represented private equity fund in $80 million divestiture of producer of specialty chemical products.
  • Represented portfolio companies of various private equity firms in bolt-on acquisitions in transactions valued at $5 million to $300 million.
  • Represented developer and producer of high-performance copper alloys as well as chlorine and caustic soda products in connection with $75 million joint venture.

  • Represented automotive supplier in over twenty different sales of various assets and divisions to public and private entities in out-of-court restructuring.
