– Hayley J. Gladstone
has joined McDonald Hopkins LLC as Counsel in the firm’s Executive Compensation and Governance Practice. Based in the firm’s growing Chicago office, Gladstone brings nine years of executive compensation and employee benefits experience to the group, which advises public and private companies, startups, entrepreneurs and executives across a variety of industries.
Prior to joining McDonald Hopkins, Gladstone served as an attorney with the New York and Chicago offices of Latham & Watkins LLP, where she represented domestic and international clients across multiple industries with respect to executive compensation, employee benefits, corporate governance, securities and employment-related issues in both public and private and buy-side and sell-side M&A and private equity transactions, debt and equity financings, IPOs and other corporate transactions. Gladstone’s experience includes the negotiation and drafting of executive employment, separation, retention and change in control agreements, the design and implementation of equity and non-equity incentive compensation plans and arrangements, and advising compensation committees and boards of directors on executive compensation and governance matters. Gladstone also regularly counsels clients regarding restrictive covenant enforcement, tax, regulatory and compliance issues. Gladstone has a growing practice representing corporations and individuals in the media, sports and entertainment industry, including representing social media influencers in their compensation, marketing and licensing arrangements.
Gladstone earned her J.D., graduating magna cum laude, from Brooklyn Law School, where she served on the Brooklyn Law Review and was a member of the Moot Court Honor Society. She clerked for the Honorable Carol B. Amon in the Eastern District of New York following graduation. Gladstone also earned a Bachelor of Arts degree in international relations, graduating cum laude, from the University of Pennsylvania.
